SILVERILE AI TERMS

1. INTRODUCTION & SCOPE

These Silverile AI Terms supplement and are incorporated into the Silverile Customer Agreement ("Master Agreement") available at silverile.com/legal/customer-agreement and the Silverile Product-Specific Terms ("Product Terms") available at silverile.com/legal/product-terms.

These AI Terms apply to all artificial intelligence and machine learning-powered features within Silverile Products, including but not limited to StoryCraft-AI. These terms define usage rights, restrictions, indemnification, liability, and disclaimers specific to AI-generated content and features.

In the event of conflict between these AI Terms and the Master Agreement or Product Terms, the Master Agreement and Product Terms shall govern with respect to liability, indemnification, and limitations of damages, and these AI Terms shall govern solely with respect to AI-specific usage, restrictions, and disclosures.

2. AI OFFERINGS & IDENTIFICATION

2.1 AI Features

Silverile offers the following AI-powered features as part of its Product offerings:

(a) StoryCraft-AI – Generative AI for story creation, content generation, and narrative assistance

  • Feature: Automated story drafting based on user input
  • Feature: Content suggestions and enhancements
  • Feature: Workflow recommendations and task automation

(b) AI-Powered Insights – Analytics and reporting recommendations (if enabled)

  • Feature: Trend analysis and anomaly detection
  • Feature: Automated report generation
  • Feature: Predictive recommendations

(c) Future AI Offerings – Additional AI features may be released and identified in the Products as "AI-powered," "AI-generated," or similar language.

2.2 AI Identification

Features that use AI are clearly marked in the Products with:

  • (a) An "AI-Powered" badge or label;
  • (b) A tooltip or help text explaining AI involvement;
  • (c) Disclosure in Product feature descriptions.

If Customer is uncertain whether a feature uses AI, Customer should contact support@silverile.com.

2.3 Scope of These Terms

These AI Terms apply to all AI features regardless of whether they are included in Customer's subscription tier or offered as an add-on. Some AI features may have different usage limits and SLAs as specified in the Product Terms.

3. INPUT DATA

3.1 Input Definition & Collection

"Input" means any data, content, instructions, questions, or prompts that Customer provides to Silverile's AI features. Input includes:

  • (a) Text prompts entered directly into StoryCraft-AI;
  • (b) Project data, metadata, and context provided to AI features;
  • (c) Files, documents, or datasets uploaded to AI features;
  • (d) User preferences, settings, and historical data used by AI models.

3.2 Input Restrictions

Customer shall not input into Silverile's AI features:

  • (a) Personal Data – Personal information (names, email addresses, phone numbers, addresses, government ID numbers) unless a Data Processing Addendum (DPA) has been signed and Customer has appropriate legal basis for processing;
  • (b) Sensitive Data – Biometric data, genetic data, financial account information, health information, or religious/political beliefs without explicit consent and appropriate safeguards;
  • (c) Data of Minors – Personal data of individuals under 18 years old without parental consent;
  • (d) Third-Party Confidential Data – Trade secrets, proprietary information, or confidential data of third parties without permission;
  • (e) Illegal Content – Data or content that violates law (child sexual abuse material, illegal gambling instructions, etc.);
  • (f) IP Infringing Data – Content that infringes copyrights, patents, trademarks, or trade secrets;
  • (g) High-Risk Data – Data subject to specialized regulations (HIPAA healthcare data, PCI payment card data, etc.) without a specific compliance agreement;
  • (h) Deceptive Content – Instructions to generate misinformation, deepfakes, or content designed to deceive.

3.3 Input Ownership & Control

(a) Customer Ownership: Customer retains ownership of Input provided to AI features.

(b) Silverile Access: By providing Input, Customer grants Silverile the right to:

  • Process Input to generate Output;
  • Use Input solely to operate, maintain, secure, and improve AI features for Customer’s Account, and to improve Silverile services through anonymized and aggregated analytics, as further described in Section 3.4.
  • Access Input for security, fraud detection, and legal compliance;
  • Share Input with third-party sub-processors (e.g., cloud infrastructure providers) to deliver AI features.

(c) Confidentiality of Input: Silverile treats Input as confidential and does not disclose Input to third parties except as necessary to deliver AI features and as described in the Privacy Policy and DPA.

3.4 Input Isolation & Data Training

(a) No Cross-Customer Training: Silverile will not use Customer's Input to train AI models used by other customers. Customer's Input is isolated to Customer's Account.

(b) Aggregated Analytics Only: Silverile may analyze anonymized, aggregated usage patterns derived from Input (e.g., "requests per tier," "feature usage rates") to improve products, but such analysis does not include Customer-specific content.

(c) Transparency: Silverile publishes an annual AI Transparency Report at silverile.com describing how Input data is processed and AI models are trained.

4. OUTPUT USAGE & RESTRICTIONS

4.1 Output Definition

"Output" means any content, code, data, or information generated by Silverile's AI features in response to Customer's Input, including:

  • (a) Generated stories, narratives, or text content;
  • (b) Suggested edits, enhancements, or recommendations;
  • (c) Automated code, templates, or configurations;
  • (d) Analyzed data, reports, or predictions.

4.2 Output License

(a) Grant: Silverile grants Customer a perpetual, worldwide, royalty-free license to use Output for Customer's internal business purposes and commercial use, subject to Section 4.3.

(b) License Scope: Customer may:

  • Use Output in final deliverables, products, and services;
  • Modify, adapt, or enhance Output;
  • Share Output with employees, contractors, and authorized third parties;
  • Sublicense Output to end customers if Customer is an agency, consultant, or service provider;
  • Resell or incorporate Output into commercial products (subject to output source disclosure).

(c) Perpetual License: The license survives termination of this Agreement; once Output is provided, Customer may continue using it after termination.

4.3 Output Restrictions

Customer shall not:

  • (a) Competitive Use – Use Output to develop, train, or improve competing AI products or services;
  • (b) Model Training – Use Output to train AI models or machine learning systems;
  • (c) Claim AI Ownership – Publicly represent that Output was generated by Customer or that Customer owns Silverile's AI technology;
  • (d) Reverse Engineering – Use Output in attempts to reverse-engineer, decompile, or extract the underlying Silverile AI model;
  • (e) Unauthorized Resale – Resell Output as-is (without modification or added value) to third parties;
  • (f) Misrepresentation – Use Output to impersonate others or create deceptive content.

4.4 Output Attribution

Customer is not required to attribute Silverile or StoryCraft-AI in Output used internally. However, if Customer publicly distributes Output (e.g., on a website, in publications), Customer should include reasonable attribution (e.g., "Content assisted by StoryCraft-AI" or similar).

Attribution requirements do not apply to Output incorporated into final commercial products where disclosure is infeasible.

4.5 Output Modification

Customer may freely modify, edit, adapt, combine, and improve Output without restriction. Silverile retains no ownership interest in modified Output.

5.1 Silverile's Representation

Silverile represents that the Output generated by StoryCraft-AI does not knowingly infringe any third-party copyright, patent, trademark, or trade secret at the time of generation, provided Output is used as-is or with minor modifications.

5.2 Indemnification Scope

If a third party claims that Output infringes their copyright, patent, trademark, or other intellectual property right, Silverile will:

  • (a) Defend Customer against the claim at Silverile's expense;
  • (b) Indemnify Customer for damages awarded in a final judgment or negotiated settlement;
  • (c) Bear all costs, including attorneys' fees, court costs, and settlement amounts;

Provided that Customer:

  • (i) Promptly notifies Silverile of the claim in writing;
  • (ii) Grants Silverile sole control of the defense and settlement;
  • (iii) Provides reasonable cooperation and information at Silverile's expense;
  • (iv) Does not settle the claim without Silverile's prior written consent.

5.3 Remedies & Exclusions

If Output becomes subject to an infringement claim, Silverile may, at its sole option:

  • (a) Obtain Rights: Obtain the legal right for Customer to continue using Output;
  • (b) Replace Output: Replace or modify Output to make it non-infringing;
  • (c) Terminate Feature: If neither of the above is commercially reasonable, terminate the AI feature and refund Customer for any prepaid fees for that feature on a prorated basis;
  • (d) Monetary Settlement: Reach a negotiated settlement with the third party and pay the agreed amount.

5.4 Exceptions to Indemnification

Silverile is not obligated to indemnify Customer if:

  • (a) Output is modified by Customer in a way that creates the infringement;
  • (b) Output is combined with third-party content or services in a way that creates the infringement;
  • (c) Customer uses Output for a purpose not disclosed to Silverile;
  • (d) The infringement claim results from Customer's violation of the Acceptable Use Policy or these AI Terms;
  • (e) Customer failed to notify Silverile of the claim promptly;
  • (f) Customer settled the claim without Silverile's consent.

5.5 Liability Cap for AI Indemnification

SILVERILE'S TOTAL LIABILITY FOR AI-RELATED CLAIMS SHALL BE SUBJECT TO THE LIMITATIONS OF LIABILITY SET FORTH IN THE MASTER AGREEMENT AND, WHERE APPLICABLE, THE AI INDEMNIFICATION CAP SET FORTH IN THIS SECTION.

  • (a) The total Fees paid by Customer for AI features in the 12 months preceding the claim, or
  • (b) USD $250,000 (two hundred fifty thousand dollars)

6. AGENTS & AUTONOMOUS FEATURES

6.1 Agent Definition

An "Agent" is an AI feature that can take autonomous actions on Customer's behalf, such as automatically creating tasks, updating projects, or sending notifications without Customer's direct instruction for each action.

6.2 Agent Restrictions

If Silverile offers Agent features, Customer shall not:

  • (a) Use Agents for illegal purposes or to circumvent authorization controls;
  • (b) Configure Agents to take harmful, deceptive, or malicious actions;
  • (c) Use Agents to interact with third-party systems without authorization;
  • (d) Allow Agents to access or modify data outside the scope authorized by Customer;
  • (e) Use Agents to bypass security controls or monitoring systems.

6.3 Agent Liability

Silverile is not liable for:

  • (a) Unintended consequences of Agent actions;
  • (b) Data loss, corruption, or modification caused by Agent errors;
  • (c) Harm to third parties caused by Agent-generated content or actions;
  • (d) Violation of third-party terms of service by Agent interactions.

Customer is solely responsible for:

  • (a) Configuring Agents correctly;
  • (b) Monitoring Agent actions and disabling Agents if they malfunction;
  • (c) Reviewing and approving Agent-generated content or modifications;
  • (d) Backing up critical data before enabling Agents.

6.4 Agent Audit & Control

Customer may:

  • (a) View a complete audit log of all Agent actions;
  • (b) Disable, reset, or reconfigure Agents at any time;
  • (c) Restrict Agent access to specific data, projects, or features;
  • (d) Request that Silverile review Agent configurations for potential issues.

7. ACCURACY DISCLAIMERS & LIMITATIONS

7.1 No Accuracy Warranty

SILVERILE AI FEATURES ARE PROVIDED "AS-IS" AND SILVERILE MAKES NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR CORRECTNESS OF OUTPUT.

Specifically, Silverile does not warrant that:

  • (a) Output is factually accurate or correct;
  • (b) Output is appropriate for Customer's intended use;
  • (c) Output contains no errors, typos, or logical inconsistencies;
  • (d) Output is complete, comprehensive, or suitable for production use without review;
  • (e) Output does not contain biased, offensive, or harmful content;
  • (f) Output complies with applicable laws or regulations.

7.2 Inherent AI Limitations

AI-generated content has inherent limitations including:

  • (a) Hallucinations: AI may generate plausible-sounding but false information;
  • (b) Inconsistency: AI may produce contradictory or inconsistent Output;
  • (c) Bias: AI may reflect biases in training data, including gender, race, and cultural biases;
  • (d) Outdated Information: AI knowledge cutoff may result in outdated recommendations;
  • (e) Context Misunderstanding: AI may misinterpret Customer Input or context;
  • (f) Harmful Content: AI may occasionally generate illegal, unethical, or harmful content.

7.3 Customer Responsibility

Customer acknowledges that:

  • (a) Customer is solely responsible for reviewing all Output before use;
  • (b) Customer must validate Output for accuracy, appropriateness, and compliance;
  • (c) Customer should not rely on Output for critical decisions without independent verification;
  • (d) Customer must filter, edit, and refine Output as needed;
  • (e) Customer assumes all risk associated with Output use and reliance on Output.

7.4 No Liability for Inaccurate Output

SILVERILE IS NOT LIABLE FOR ANY HARM, LOSS, OR DAMAGE ARISING FROM INACCURATE, INCOMPLETE, OR INAPPROPRIATE OUTPUT, INCLUDING:

  • (a) Loss of revenue or profits from reliance on Output;
  • (b) Reputational harm caused by harmful Output;
  • (c) Errors in decision-making based on Output;
  • (d) Data loss or corruption caused by Output;
  • (e) Violation of laws or regulations caused by Output use.

7.5 Content Filtering

Silverile implements content filtering to prevent Output of:

  • (a) Illegal content (child exploitation, terrorism, etc.);
  • (b) Extreme violence or gore;
  • (c) Explicit sexual content.

However, Silverile does not warrant that filtering is 100% effective. Customer should implement additional review processes for sensitive use cases.

8. LIABILITY & DAMAGES

8.1 Exclusive Remedy

Uptime credits (as specified in the Product Terms) and indemnification under Section 5 are the sole and exclusive remedies for Silverile's failure to provide accurate, complete, or reliable AI features.

8.2 Limitation of Damages

IN NO EVENT SHALL SILVERILE BE LIABLE FOR:

  • (a) Indirect, incidental, special, consequential, or punitive damages arising from AI features;
  • (b) Loss of revenue, profits, or business opportunity;
  • (c) Loss of data or Customer Data (except where caused by Silverile's gross negligence);
  • (d) Reputational harm from AI-generated content;
  • (e) Third-party claims related to Output.

This exclusion applies even if Silverile has been advised of the possibility of such damages.

8.3 Cap on Liability

SILVERILE'S TOTAL LIABILITY FOR AI-RELATED CLAIMS SHALL NOT EXCEED USD $250,000, EXCEPT AS PROVIDED IN SECTION 5.5 (INDEMNIFICATION CAP).

9. FEEDBACK & IMPROVEMENT

9.1 Feedback Grant

By using Silverile AI features, Customer grants Silverile a royalty-free, worldwide, perpetual, irrevocable license to:

  • (a) Collect and analyze feedback, suggestions, and complaints about AI features;
  • (b) Use feedback to improve AI model accuracy, reduce bias, and enhance performance;
  • (c) Share anonymized feedback with research institutions or third parties;
  • (d) Incorporate feedback into future versions of Silverile AI features.

9.2 Feedback Anonymization

Silverile will:

  • (a) Remove or anonymize any personal data or customer-specific information before using feedback;
  • (b) Not use feedback in a way that identifies Customer;
  • (c) Publish anonymized insights in research papers or public reports about AI performance.

9.3 Opt-Out

Customer may opt out of feedback collection by contacting legal@silverile.com. Opting out does not affect the availability or functionality of AI features.

9.4 Model Training Transparency

Silverile publishes an annual AI Transparency Report at silverile.com/trust that describes:

  • (a) How AI models are trained and evaluated;
  • (b) Data sources used for training;
  • (c) Bias testing and mitigation efforts;
  • (d) Performance metrics and accuracy rates;
  • (e) Customer feedback and improvements made.

10. COMPLIANCE & DATA PRIVACY

10.1 Data Processing Agreement

Where Silverile processes personal data in connection with AI features, the Data Processing Addendum (available at silverile.com/legal/dpa) applies and governs data processing. Customer is responsible for obtaining appropriate legal basis (consent, contract, etc.) before providing personal data to AI features.

10.2 GDPR Compliance

For customers subject to GDPR:

  • (a) Silverile acts as a data processor; Customer is the data controller;
  • (b) Standard Contractual Clauses (SCCs) in the DPA govern EU→US data transfers;
  • (c) Customer must obtain Data Subject consent before processing personal data through AI features;
  • (d) Customer may request deletion of personal data, which Silverile will comply with within 30 days.

10.3 DPDP Act Compliance

For customers subject to India's Digital Personal Data Protection (DPDP) Act:

  • (a) Silverile acts as a data processor; Customer is the data principal/fiduciary;
  • (b) Customer is responsible for DPDP Act notice and consent;
  • (c) Silverile will delete personal data upon Customer request within 30 days;
  • (d) Silverile maintains security controls per DPDP Act Schedule 1.

10.4 CCPA/CPRA Compliance

For California consumers' personal information:

  • (a) Silverile does not "sell" personal information derived from AI features;
  • (b) Customer is responsible for CCPA consumer rights (access, deletion, opt-out);
  • (c) Silverile honors Data Subject rights requests within 45 days.

10.5 Sensitive Data & Sector-Specific Regulations

(a) Healthcare: Customer shall not input HIPAA-protected health information without a Business Associate Agreement (BAA). Contact legal@silverile.com to sign a BAA.

(b) Financial: Customer shall not input PCI payment card data without appropriate safeguards and compliance review.

(c) Children: Customer shall not input personal data of individuals under 13 without parental consent. Silverile may ask for age verification.

11. TERMINATION OF AI FEATURES

11.1 Termination by Silverile

Silverile may terminate or suspend specific AI features at any time:

  • (a) Without cause, with 30 days' notice and a prorated refund of prepaid fees for that feature;
  • (b) Immediately, if Customer violates Section 4.3 (Output Restrictions), Section 3.2 (Input Restrictions), or the Acceptable Use Policy;
  • (c) For legal or regulatory requirements.

11.2 Termination by Customer

Customer may:

  • (a) Disable individual AI features in Account Settings without penalty;
  • (b) Terminate AI feature subscriptions with 30 days' notice by downgrading the subscription tier;
  • (c) Request full Account termination per Section 11 of the Master Agreement.

11.3 Data & Output Retention

Upon termination of AI features:

  • (a) Customer's Output remains the property of Customer and may be downloaded/exported;
  • (b) Input data is deleted within 30 days, unless required for legal compliance;
  • (c) Feedback and analytics remain property of Silverile.
